KRABIT is a digital marketplace and community platform that enables the exchange of intangible assets such as websites, domains, social media accounts, digital advertising options, and online influence. In this document, “KRABIT,” “service,” “site,” “forum,” and “marketplace” collectively refer to krabIt.co, its mobile applications, and all related services.
These Terms of Service (the “Agreement”) govern your use of KRABIT and form a legally binding contract between you and Techhive Technologies Ltd, which operates KRABIT and serves as the Merchant of Record for all financial transactions processed directly on the platform (except where handled by independent processors such as Trustap).
By accessing or using KRABIT, you agree to these Terms, and if you do not agree, you must stop using the service.
1. Legal Capacity and Eligibility
1.1 You must be at least 18 years old to register for or use KRABIT, and by registering, you represent and warrant that you can legally enter into binding contracts.
1.2 You may not use KRABIT if you are located in a country or territory subject to Canadian, U.S., or EU sanctions, or where marketplaces of this type are prohibited by local law.
1.3 You acknowledge that transactions on KRABIT often involve commercial activity, and when you act in the course of business, consumer protection rules may not apply.
2. Role of KRABIT and Techhive Technologies Ltd
2.1 Techhive Technologies Ltd acts as the Merchant of Record for transactions processed directly through KRABIT (excluding Trustap transactions), and buyers purchase directly from Techhive Technologies Ltd, which invoices the buyer, collects payment, deducts platform fees, and arranges fulfilment through independent contractors, sellers, or service providers.
2.2 All sellers operating through KRABIT act as independent contractors and are not employees, agents, or representatives of KRABIT or Techhive Technologies Ltd.
2.3 KRABIT provides the marketplace and payment infrastructure but does not guarantee, warrant, or assume responsibility for the quality, legality, delivery, or results of services provided by contractors or sellers.
2.4 All risks associated with contractor performance rest entirely with the buyer and seller and not with KRABIT or Techhive Technologies Ltd.
3. Accounts and Verification
3.1 You are responsible for protecting your account details, and KRABIT is not liable for losses caused by unauthorised access resulting from your failure to secure your account.
3.2 You may only maintain one KRABIT account, and duplicate accounts may be suspended or terminated.
3.3 Users may be required to complete identity verification through third-party providers such as SumSub, including ID checks, video verification, or proof of address, and failure to complete verification may limit access.
4. Transactions and Fees
4.1 All transactions must be conducted through KRABIT, and off-platform transactions designed to avoid service fees are prohibited and may result in account termination.
4.2 KRABIT charges service fees to subcontractors between 2% and 11%, depending on transaction volume, payment method, and member status.
4.3 KRABIT accepts payment via cryptocurrency (BTC, ETH, USDT, USDC, SOL) and through the third-party processor Trustap.com (credit card/bank wire), and limits may apply based on trust level.
4.4 All payments made through Trustap are processed solely by Trustap, and Techhive Technologies Ltd and KRABIT do not control, hold, or access such funds, nor can Techhive Technologies Ltd issue invoices for payments processed through Trustap. Users must comply with Trustap’s Terms of Service, with all issues regarding payments, refunds, or chargebacks falling under Trustap’s control.
4.5 All refunds, cancellations, or reversals of payments processed directly by KRABIT are subject to a 1% Refund Processing Fee, which is deducted before issuing a refund and covers administrative, banking, and blockchain costs, and network fees and bank charges are non-refundable.
4.6 For transactions above USD $5,000, when a cancellation or refund is caused by seller default, the buyer may request reimbursement of the 1% refund fee from the seller.
5. Refunds, Cancellations, and Disputes
5.1 Refunds are not automatic and are issued only at the discretion of KRABIT unless required by law.
5.2 Users who initiate cancellations agree that the 1% refund processing fee applies regardless of fault.
5.3 If KRABIT staff must intervene in a dispute, a 5% dispute resolution fee applies, with buyers paying if they are at fault, sellers paying if they are at fault, and both paying 2.5% if both share responsibility.
5.4 Dispute resolutions made by KRABIT staff are final and binding.
5.5 Except where required by applicable law, all completed transactions on KRABIT are final, and buyers waive any right to chargebacks, reversals, or retroactive claims once a transaction is marked complete.
6. User Content and Conduct
6.1 Users own their content but grant KRABIT a worldwide, royalty-free license to display and distribute it for platform purposes.
6.2 Users may not post or sell items that are illegal, infringe intellectual property rights, or violate platform rules, including spam, malware, phishing, stolen data, or fraudulent accounts.
6.3 Users are responsible for ensuring their use of KRABIT complies with applicable local laws.
6.4 When you post content on KRABIT, you are solely responsible for it, and by posting, you confirm that your content does not infringe intellectual property rights, that you have all necessary permissions, that your content contains no harmful code or deceptive practices, that it does not include illegal or harmful material, that descriptions of code are accurate, and that you comply with KRABIT’s Prohibited Items List.
6.5 Members must respect privacy, follow category rules, and use the platform in good faith.
6.6 Members must not manipulate trust levels, solicit personal contact details, make private offers off-platform, or act as unauthorised intermediaries.
7. No Guarantee and Disclaimer of Warranties
7.1 KRABIT and Techhive Technologies Ltd provide the platform strictly “as is” and without warranties of any kind.
7.2 Techhive Technologies Ltd does not guarantee or endorse services provided by independent contractors or sellers.
7.3 KRABIT does not guarantee that purchased digital assets, such as accounts, domains, or influence, will remain active, accessible, or free from suspension or recovery.
7.4 KRABIT does not guarantee uninterrupted or error-free availability.
7.5 KRABIT does not provide legal, tax, or financial advice.
8. Limitation of Liability
8.1 To the maximum extent permitted by law, KRABIT and Techhive Technologies Ltd are not liable for indirect, incidental, special, or consequential damages relating to contractor misconduct, asset recovery, negative outcomes, cryptocurrency volatility, payment processor failures, or government restrictions affecting transactions.
8.2 KRABIT total liability shall not exceed the lesser of the service fees paid for the transaction or USD $500.
9. Taxes and Invoicing
9.1 Users are responsible for reporting and paying all applicable taxes, and KRABIT does not provide tax advice.
9.2 As Merchant of Record, Techhive Technologies Ltd issues invoices only for payments processed directly through KRABIT, and for Trustap transactions, all invoicing is governed by Trustap’s policies, with contractors required to invoice Techhive Technologies Ltd directly where applicable.
10. Termination
KRABIT may suspend or terminate accounts at its discretion, with or without cause or notice.
11. Indemnification
You agree to indemnify and hold harmless KRABIT, Techhive Technologies Ltd, and their affiliates, officers, directors, employees, and contractors against claims, damages, or expenses arising from your use of the platform or your violation of these Terms.
12. AML and Compliance
12.1 Users agree to comply with all anti-money laundering, counter-terrorist financing, and know-your-customer laws.
12.2 KRABIT may conduct verification checks and may delay or cancel transactions if requirements are not met.
12.3 KRABIT reserves the right to report suspicious activity to authorities.
12.4 KRABIT cannot receive funds from the listed restricted countries and territories, and users must ensure their transactions do not involve them.
13. Force Majeure
Neither KRABIT nor Techhive Technologies Ltd is liable for failure or delay caused by events beyond reasonable control, including natural disasters, government actions, labor disputes, or technical failures.
14. Governing Law
This Agreement is governed by the laws of Ontario, Canada, and all disputes must be resolved in the courts of Ontario.
15. Modifications
KRABIT may amend these Terms at any time, and continued use of the platform after updates constitutes acceptance.
16. Disclaimer of Responsibility
KRABIT and Techhive Technologies Ltd disclaim responsibility for the actions, promises, content, performance, or failures of independent contractors, sellers, or third-party providers, and users agree that disputes involving those parties must be pursued directly with them and not with KRABIT or Techhive Technologies Ltd.
